Therapist Agreement

By registering and providing services through Mannasukh, you (“Therapist”) agree to the following legally binding terms:

1. Independent Professional

You acknowledge that you are an independent professional and are solely responsible for your qualifications, registrations, licences, professional conduct, advice, diagnosis, counselling, treatment, and compliance with all applicable laws and ethical standards.

2. Non-Circumvention

All clients introduced through Mannasukh are sourced through the Platform. You shall not, directly or indirectly, during your association with Mannasukh and for 24 months after its termination:

• Contact or solicit any Mannasukh client outside the Platform for private practice.
• Accept direct bookings or payments from any Mannasukh client without the prior written consent of Mannasukh.
• Encourage or request any client to discontinue using Mannasukh.
• Share your personal phone number, email address, social media accounts, website, clinic address, QR code, bank details, UPI ID, or any other contact or payment details for the purpose of conducting services outside the Platform.
• Attempt to bypass, avoid, or circumvent Mannasukh in any manner.

3. Confidentiality

You shall keep strictly confidential all information relating to Mannasukh, its users, therapists, business operations, pricing, technology, databases, marketing strategies, and any other proprietary or confidential information. You shall not copy, download, disclose, sell, transfer, publish, or otherwise use such information except as expressly authorised in writing by Mannasukh or as required by law.

4. Client Data Protection

All client information obtained through Mannasukh is confidential and shall be used solely for providing professional services booked through the Platform. You shall not disclose, share, sell, transfer, store for unauthorized purposes, or misuse any client’s personal information, contact details, medical information, therapy records, or session details.

5. Payments

All payments for appointments booked through Mannasukh shall be processed only through the Platform unless expressly approved in writing by Mannasukh. You shall not request, receive, or accept any off-platform payment from a Mannasukh client.

6. Breach and Legal Remedies

Any violation of this Agreement shall constitute a material breach. Upon such breach, Mannasukh may, without prior notice:

• Immediately suspend or permanently terminate your account.
• Remove your profile from the Platform.
• Cancel pending appointments.
• Withhold pending payouts to the extent permitted by applicable law.
• Recover all losses, damages, legal expenses, investigation costs, and court costs incurred due to your breach.
• Seek immediate injunctive or other equitable relief from a competent court.
• Initiate appropriate civil and/or criminal proceedings under applicable laws of India. These remedies are cumulative and do not limit any other rights or remedies available to Mannasukh.

7. Intellectual Property

All trademarks, branding, software, content, databases, client information, business methods, and intellectual property associated with Mannasukh remain the exclusive property of Mannasukh. No rights are granted to the Therapist except those expressly stated in this Agreement.

8. Survival

The obligations relating to confidentiality, non-circumvention, client data protection, intellectual property, indemnification, and dispute resolution shall survive the termination of this Agreement.

9. Governing Law

This Agreement shall be governed by the laws of India. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India .
